Business | yacht broker responds to antitrust lawsuit: we’ve ‘done nothing wrong’.

A Fort Lauderdale-based yacht broker is seeking to dismiss a lawsuit alleging that it and numerous other members of South Florida’s yacht industry engage in unfair competition by requiring 10% commissions be paid by purchasers of preowned boats.

Denison Yacht Sales is the first of a group of yacht brokers, mostly based in South Florida, to respond to allegations leveled in three antitrust lawsuits filed in U.S. District Court in Miami.

The lawsuits claim that trade associations, including the International Yacht Brokers Association, work in conjunction with Multiple Listing Services and individual yacht brokers to require that commissions are paid to brokers for both sellers and buyers.

The first lawsuit was filed by Wyoming company Ya Mon Expeditions on Feb. 29.

The second lawsuit was filed on March 22 by Alabama customer Kip Lamar Snell, while a third was filed on March 26 by a company called Magna Charter LLC, identified as a yacht purchaser who paid a commission.

On Monday, a federal judge assigned to two of the three lawsuits agreed to a request to consolidate them into a single suit.

The lawsuits are patterned after litigation that accused the National Association of Realtors of conspiring with real estate brokers to artificially inflate commissions paid when homes are sold.

A federal jury in Kansas City, Missouri, issued a ruling in October favoring the plaintiff. On March 15, the Realtors agreed to a settlement that’s expected to force major changes in how homes are sold in the United States.

Denison’s motion in the Ya Mon Expeditions case requests dismissal of the claims against only Denison, asserting that the company “has done nothing wrong and is being sued for merely being a yacht brokerage and having had an executive that served on the board of” the International Yacht Brokers Association.

Denison states that it has been “lumped into these broad-stroke allegations” that it has “implemented,” “adopted” and “enforced” a rule requiring inflated commissions of 5% each for the seller’s and buyer’s brokers.

The lawsuits refer to the alleged commission requirement as the “Buyer’s Broker Commission Rule.”

But Denison’s motion states that the broker “has no such requirement, does not require its brokers to be members of any association” and does not “require use of any MLS, nor mandate brokers pay cooperating brokers (inclusive of buyer’s brokers).”

Denison is “purely free market” and its “only major requirements are that its brokers be legally licensed and impeccably honest,” the motion states.

Further, the motion states that the lawsuit fails to make specific allegations regarding Denison while making “vague and conclusory” charges against all 15 defendants.

The only specific allegation that forms the basis for naming Denison as a co-defendant, the motion states, stems from company president Bob Denison’s membership on the International Yacht Broker Association board of directors, the motion states. That allegation cannot be used to hold Denison Yacht Sales liable, because there is a lack of “evidence of actual knowledge of, and participation in” what the plaintiffs allege is an illegal scheme.

Other shortcomings of the complaint, as identified in the motion, include failure to allege reasonable restraint on trade or an antitrust injury.

Denison is represented by Beverly Hills, California-based attorney Christopher Brainard, and Emily Heim of Bayramoglu Law Office LLC of Henderson, Nevada. Heim did not respond to an email on Monday and Brainard said he had no comment on Denison’s motion or the cases against the yacht broker industry.

Denison’s response is likely just the first of a cascade of court filings to follow as the consolidated case seeks class-action status.

Late last week, attorneys came forward representing defendants Boats Group LLC, Permira Advisers LLC, United Yacht Sales LLC, HMY Yacht Sales, Galati Yacht Sales LLC, MarineMax Inc., and Northrop & Johnson Yacht Ships LLC.

On Monday, U.S. District Judge K. Michael Moore granted a request by two of the law firms representing Ya Mon Expeditions and Kip Lamar Snell to consolidate the three “nearly identical” cases into one, effective immediately.

The judge’s ruling stated that consolidating the cases would “streamline these proceedings and eliminate unnecessary repetition and confusion.”

Moore, however, said he would decide on the law firms’ request to appoint them as interim co-lead counsel in the consolidated case “in due course.”

If the request is granted, interim co-lead counsel responsibilities would be divided among Robbins Geller Rudman & Dowd LLP, an antitrust firm with offices in 10 cities, and Miami-based Podhurst Orseck P.A., a nationally known firm that specializes in complex commercial and class action claims.

Sean ‘Diddy' Combs' son accused of sex assault in lawsuit that also names music mogul as defendant

Sean “Diddy” Combs, who is a  subject of a federal sex trafficking investigation , has been named as a defendant in a new lawsuit that alleges his son sexually assaulted a woman while she was working on a yacht the music mogul had chartered for a trip at the end of 2022. 

The allegation is the latest in a  wave of lawsuits accusing Combs , 54, of sexual assault, sexual trafficking and engaging in other criminal activity. He has denied all the allegations, calling them sickening.

In the suit filed Thursday in Los Angeles County Superior Court, Grace O’Marcaigh alleges that Christian Combs, 26, sexually assaulted her in late December 2022 while she was working on a boat charter that had been “sold as a wholesome family excursion” but turned into a “hedonistic environment.” 

The alleged assault happened just days before Sean Combs hosted a New Year’s Eve yacht party with a long list of  celebrity guests .

Christian Combs is accused of sexual assault, sexual harassment and infliction of emotional distress in the lawsuit. Sean Combs is being sued for premises liability as the person who chartered the yacht and for aiding and abetting his son in the alleged assault. 

Representatives for Christian and Sean Combs did not immediately respond to a request for comment Thursday night. Sean Combs has denied all of the recent allegations against him. 

 “Like father, like son," attorney Tyrone Blackburn, who is representing O’Marcaigh, said Thursday night after the suit was filed. "It gives us no joy or pleasure in filing this suit against Christian Combs who has clearly adopted his father’s pattern and practice of depravity."

In the yacht studio

In her suit, O’Marcaigh alleges that Christian Combs drugged and sexually assaulted her. She included transcriptions of audio clips   that she states are evidence of her denying his advances as he gropes her. The suit states that the clips were recorded by a producer in the studio. 

O’Marcaigh, who was 25 at the time of the alleged assault, worked as a steward providing dinner and drink service on the yacht from 6 p.m. to 6 a.m. and witnessed partying and drug use between a “constant rotation of suspected sex workers” and celebrities, the suit states. She also alleges in the complaint that she suspected bottles of alcohol were laced with drugs because women began to fall over themselves, panic or pass out after just one drink. 

Around Dec. 28, 2022, O’Marcaigh was informed that Christian Combs would be joining the party to record with music producer Rodney “Lil Rod” Jones in the yacht’s makeshift studio, the suit states. 

Christian Combs had been staying on shore at a villa, but often joined his father in the evenings, according to the suit. The woman’s suit alleges that he arrived “heavily intoxicated” and that he paid an inappropriate amount of attention to her. 

Christian then pressured O’Marcaigh to take shots of tequila that she believes he brought onboard, according to the suit.

After she took the shot, O’Marcaigh states in the lawsuit, Christian Combs became aggressive and insisted she drink more. 

O’Marcaigh became fearful and began to feel the effect of the tequila, which she “quickly suspected” had been spiked, the suit states.

The situation “escalated” as Christian Combs groped O’Marcaigh’s legs, breast, anus and vagina, the suit states. The suit details audio recordings in which it states O’Marcaigh can be heard declining alcohol, saying she had to leave, and telling Christian Combs to stop touching her with what sounds like kissing noises in the background.

The audio was recorded by Jones, the producer who was in the studio during the alleged assault and who has alleged in his  own lawsuit that he was required to record Sean Combs “constantly”  and had hours of footage in which the music mogul and his staff allegedly engaged in criminal conduct. 

NBC News has heard two clips of audio transcribed in the suit purportedly from the night of Dec. 28, 2022, but has not verified who was recorded. 

“Excuse me, you don’t touch my legs like that. I’ll move my legs where I want to,” O’Marcaigh is heard saying in the recording detailed in the suit. “If I want to do this, then I will. You don’t touch my legs like that.” 

“Listen, you and everybody in the crew,” Christian Combs allegedly replies. 

“I can’t, I have to go down,” O’Marcaigh says. “I have to go down.”

Christian Combs then insists that O’Marcaigh stay with him, but she responds   that she cannot unless he makes that request to a crew leader, the suit states, citing the audio recording. 

O’Marcaigh answered this way because she knew “anyone of authority” who could approve the request would be asleep and Christian Combs would not be able to contact them, the suit states. 

“Who can I talk to? I’m going to say I requested you right now,” Christian Combs said, according to the suit.  

“Well, you can take your hand off my ass for the first thing,” O’Marcaigh responded. 

O’Marcaigh then attempted to resume her duties and finish her shift once she was able to leave the studio, the suit states.   Christian Combs allegedly found her a short time later and insisted she find him a place to sleep.

She directed him to the yacht cinema, which was used as an extra sleeping area, where he blocked her in, the suit states. 

Christian Combs allegedly began to grope her and took off his clothes. 

“His penis was erect, and he grabbed her arms and was trying to force PLAINTIFF to perform oral sex on him,” the suit states. 

The suit includes photos of bruising on O’Marcaigh’s forearm and alleges it was caused when Christian Combs grabbed her. 

O’Marcaigh fought him off until someone else walked in, according to the suit. 

Since the alleged attack

The alleged assault had a deep impact on O’Marcaigh’s mental health as well as her professional and personal lives, the suit said. When O’Marcaigh complained to the yacht captain the next day, the suit alleges, the captain did not believe her and failed to investigate.

She alleges that the captain retaliated against her until she was terminated in May 2023. 

Her mental health deteriorated, and the woman had anxiety and panic attacks as well as severe suicidal ideations, the suit said. O’Marcaigh alleges that the emotional strain affected her physical health and that she developed an eating disorder and epileptic seizures following the assault. 

She is seeking unspecified damages. 

"I am here to fight for those who can’t fight for themselves and I applaud Grace for being so brave to come forward with her truth," attorney Rodney S. Diggs said of his client. "Hopefully her story will inspire others to come forward."

Allegations and investigation 

O’Marcaigh’s suit is the first to accuse Christian Combs of sexual assault. Since November, his father, Sean Combs, has been accused in lawsuits of sexual assault by four women, which he has repeatedly denied. 

One of those suits  has been settled , and the others have not been resolved.  

Jones, a producer who worked for Sean Combs from September 2022 to November 2023, alleged the rapper sexually harassed him, pressured him to engage in sexual acts and forced him to procure sex workers. He said he witnessed Sean Combs giving drinks laced with drugs to people at parties. 

An attorney for Combs said Jones’ “reckless name-dropping about events that are pure fiction and simply did not happen is nothing more than a transparent attempt to garner headlines.”

On March 25, agents with Homeland Security Investigations  searched Sean Combs’ properties  in Los Angeles and Miami. A source familiar with the investigation told NBC News that a federal investigation began before this year and that authorities were aware of the layout of Combs’ properties before the raids. 

During the searches last month, federal agents discovered guns and seized his phones as part of a warrant issued from the U.S. District Court for the Southern District of New York, law enforcement sources have said. Christian Combs was detained at his father’s Los Angeles home last month when Homeland Security Investigations executed a search warrant, but he was not arrested. 

Investigators are also looking into allegations of statutory rape against Sean Combs, the source said. 

NBC News previously reported that at least three women and one man have been interviewed by federal investigators in relation to allegations of sex trafficking, sexual assault and the solicitation and distribution of illegal narcotics and firearms. 

Aaron Dyer, one of Combs’ attorneys, issued a statement following last month’s property searches and said that Combs “was never detained but spoke to and cooperated with authorities.” He described the search as an ambush, saying there’s been a rush to judgment based on “meritless accusations made in civil lawsuits.”

“There has been no finding of criminal or civil liability with any of these allegations,” Dyer said. “Mr. Combs is innocent and will continue to fight every single day to clear his name.”

Construction began in September, 2007, and is planned to be completed in 2011. Upon reaching its final height of 612.2 metres (2,009 ft), it will be the tallest building in Europe and the second tallest in the world.

The total area of the structure will cover 520,000 m² (5,597,233.4 sq ft), of which 38% (200,000 m² (2,152,782.1 sq ft)) will be located underground. The tower will contain 118 floors, 101 lifts, and underground parking to accommodate 3,680 cars. Commercial retail shops will be located at the base of the building. The maximum capacity of the building is projected to be around 30,000.

The first ten floors will be occupied with the common part in which the parking will be placed. In the bottom part of a tower of office premises, a hotel will be located, the top floors will be occupied by apartments. In a business part of the project is expected to house a large congress centre, hotel, an entertainment zone, and a casino and park of attractions. Construction is planned on a plots 17-18 MIBC "Moscow-City". The developer of the project is the Moscow company (MDC), in cooperation with the city government and CT-Towers is the affiliated structure STT Group created for realization of projects in MIBC "Moscow-City". The final project of a tower has been presented by architect Norman Foster on March 15th, 2006 at exhibition MIPIM-2006 in Cannes. After completion, Russia Tower will become the tallest tower in Europe.

Indian company sold contaminated shrimp to U.S. grocery stores, 'whistleblower' says

This story is a product of an NBC News investigation in collaboration with The Outlaw Ocean Project, a nonprofit journalism organization.

Joshua Farinella had been working in the seafood industry for eight years when he received an exotic job offer too lucrative to pass up — managing a shrimp factory in southern India. The salary: $300,000, more than double what he was making previously.

“I packed up two suitcases and moved 8,000 miles away,” said Farinella, 45, of Pittston, Pennsylvania. “It was supposed to be life-changing.”

But just a few months after he arrived on the job in October 2023, Farinella said he became deeply disturbed by what he was witnessing.

His company, Choice Canning, supplies shrimp to major U.S. grocery chains including Walmart, Aldi, ShopRite and H.E.B. It touts its “ state-of-the-art processing plant ” and “commitment to international standards of quality.”But Farinella said he soon discovered that Choice Canning operated unsanitary offsite “peeling sheds” and routinely approved the export of shrimp tainted with antibiotics in violation of U.S. food safety law.

The company’s treatment of workers was equally jarring to Farinella, he said. Migrant workers rarely had a day off, slept in overcrowded, bedbug-infested dorms and were restricted from leaving the walled-off company compound in Amalapuram, according to Farinella. They were mostly women who were often recruited from the poorest sections of the country.

Farinella left the job after about four months, but not before recording conversations with senior leadership and capturing video footage of conditions at the plant and at an offsite peeling facility. 

“​​The consumers need to understand that they’ve been purchasing a contaminated product that was made by people who don’t have the luxury of going home,” said Farinella, who has filed a whistleblower complaint with the Food and Drug Administration and other regulators detailing his allegations and has shared it with members of Congress.

U.S. lawmakers are looking into Farinella’s allegations, which underscore long-held concerns about the farmed shrimp industry globally and more recent findings about India’s in particular. 

In a letter dated March 18, ranking Democrats on the House Committee on Natural Resources requested documents and recordings from Farinella in response to his complaint. The letter references the committee’s “ongoing efforts to reduce human rights violations and increase transparency in the seafood supply chain.” (Farinella’s lawyers said they’ve provided all relevant records in response.)

After the nonprofit news organization The Outlaw Ocean Project published its investigation into Farinella’s claims, other lawmakers called on the Biden administration to take action to protect American consumers.

“Damning evidence from someone in the industry has revealed strong concerns of severe food safety issues and labor violations at an Indian shrimp processing plant,” Rep. Mary Peltola, D-Alaska, and Rep. Garret Graves, R-La., wrote in a March 22 letter to President Joe Biden. “The whistleblower alleged that the company was deliberately exporting shrimp contaminated with antibiotics and engaging in forced labor practices.”

Lawyers for Choice Canning categorically denied any wrongdoing, including the claims about abusive labor practices and the illegal use of antibiotics. “The allegations that have been brought against our company are false and without merit,” a spokesperson for Choice Canning Company Inc. said in a statement.

“During our history we have maintained a spotless record with regulators and continue to exceed industry standards to ensure our products meet all certifications. Throughout our history we have dedicated significant resources to developing and adhering to comprehensive auditing processes and protocols as well as employee welfare programs.”

The company also cast Farinella as a disgruntled former employee who should not be believed because of his criminal past.

Farinella was convicted of a series of felony and misdemeanor crimes between 1999 and 2014 — a period when he says he was struggling with depression and substance abuse. The offenses included grand theft auto, burglary and identity theft.

“It was 10-plus years ago,” said Farinella, who is married with two stepchildren, ages 17 and 24. “That’s not who I am at this point in my life.”

Walmart and Aldi said in statements to NBC News that they were investigating Farinella’s claims and expect their suppliers to treat workers fairly. Wakefern Food Corporation, which owns ShopRite, referred to Choice Canning’s response to the allegations. HEB did not respond to requests for comment. 

“We expect suppliers to operate safe workplaces, take responsibility for the well-being of their workers, adhere to our forced labor prevention principles and to protect the integrity of the food we sell by complying with all FDA regulatory requirements and Walmart food safety standards,” a Walmart spokesperson said.

Americans love shrimp. It’s the most consumed type of seafood in the U.S, and nearly 40% of the imported crustaceans now comes from India — more than any other country.

Thailand was for a long time the largest exporter of shrimp to the U.S. But the industry was jolted by high rates of shrimp disease and repeated reports of forced labor. With Thailand’s shrimp business in crisis, India boosted production to meet global demand. 

A new report by the Corporate Accountability Lab (CAL), a Chicago-based advocacy group, suggests that Farinella’s allegations are part of a larger, systemic problem in the Indian shrimp industry.

The report was based on interviews with more than 150 workers and others in the country's shrimping sector.

The CAL report did not investigate Choice Canning, but found that shrimp operations in India often rely on forced labor and “dangerous and abusive working conditions” to “meet demands for ever-lower prices.” 

“In the processing sector, workers live in overcrowded and often unsanitary conditions under the careful surveillance of company guards,” reads the report. “They are rarely allowed to leave the premises.”

CAL also found that debt bondage — preventing workers from leaving a job until they have paid off a loan — is common. And shrimp production is also causing severe environmental damage, the report says. 

The report didn’t focus on food safety, but it does note that the Indian shrimp industry focuses on two national markets “with fewer regulations and less monitoring of imported shrimp: China and the U.S.”

While the European Union samples 50% of shrimp from India for antibiotic traces, the U.S. inspected just over 1% of shrimp imports in 2023, the FDA said. According to publicly available import refusal data from the FDA, the FDA refused 51 shipments of shrimp due to antibiotics last year and over 70% of them involved shrimp exported from India.  

“The minimal testing combined with the huge quantity of shrimp entering the United States means that there is a high risk of shrimp with traces of antibiotics entering the U.S. market from India,” the Corporate Accountability Lab report says. 

Shrimp farmers sometimes use antibiotics to reduce the spread of disease, but the practice is heavily restricted in many countries in part because eating contaminated shrimp could lead to increased resistance to antibiotics.

Farinella said his plant shipped out antibiotic-tainted shrimp “nearly half a dozen times” in the time he was there. Company leaders even had a code name for it, he said: Oscar.

In a WhatsApp text exchange cited in the whistleblower complaint and viewed by NBC News, Farinella wrote to an executive about a shipment of cooked shrimp for a U.S. grocer that he said tested positive for antibiotics. “Please use the word Oscar lol” the executive wrote.

“Oscar was the word when nobody wanted to see a message out there saying, ‘Hey, this shrimp is contaminated,’” Farinella said.

Choice Canning disputed Farinella’s characterization, saying the term Oscar is used to denote shrimp that had tested positive for antibiotics in an initial inspection, but negative in a subsequent, more precise one known as LCMSMS. 

“Cleared OSCAR products can only be exported after LCMSMS reports are negative and further time requires senior management approval for final shipments,” reads a policy document provided by Choice Canning.

Farinella said the processing plant itself was inspected by auditors from Best Aquaculture Practices, a group that ensures seafood is responsibly and sustainably sourced, but a substantial portion of the work was actually done at offsite peeling sheds with subpar standards of hygiene and sanitation.

Workers in street clothes and sandals would peel shrimp in rooms exposed to the elements and without temperature control, Farinella said. 

Choice Canning said it only relied on an offsite peeling shed from January to February, and that it was used for shrimp bought by customers who purchase seafood that is not certified by Best Aquaculture Practices, or BAP. 

“Choice is not aware of any unsanitary conditions, and the shed has not been used since March 1, 2024,” the company said. A second shed was used by a “copacker,” and the shrimp processed there was not owned or sold by Choice, the company added.  

Farinella said he decided to speak out about what he experienced in the hope of forcing a reckoning on the shrimp industry. 

“I need a change to happen, and that will make this worth it,” he said. 

The Outlaw Ocean Project, which first publicly reported on Farinella’s complaint, shared reporting with NBC News for this investigation.
