Catamaran superyacht Ultra Vires launched in South Africa

Ultra Vires , the largest yacht in the Two Oceans Marine range to date, has been launched by the South African yard.

This 25 metre catamaran is the first hull in the Open Ocean 800 range and was developed in collaboration with Du Toit Yacht Design , following in a strong tradition of multihull superyachts .

Ultra Vires was designed with watersports firmly in mind, with space on board for storing superyacht toys such as surf boards, stand-up paddleboards and kite surfing equipment. Her open and free-flowing interiors feature a monochrome decor and extensive wood panelling, as designed by Hanno de Swardt .

Accommodation is for eight guests across four en-suite cabins, while the crew quarters allow for a staff of two. Relaxation spaces include a spacious main-deck saloon, which makes the most of Ultra Vires ’ generous 11-metre beam, and two shaded cockpits, one on the main deck with its own bar, and another on the upper deck.

An aft-deck davit crane can be used to store Ultra Vires ’ 6.4 metre tender, while a smaller tender and a Jetski can be stored on the foredeck as well.

Ultra Vires is powered by a pair of 305hp Cummins QSB5.9 305MCD engines, which give this catamaran superyacht a transatlantic cruising range of around 4,500 nautical miles, even when towing a 15 metre support vessel.

Based in Cape Town, Two Oceans Marine is currently working on a second hull in the Open Ocean 800 series, which will have a smaller saloon to free up more cockpit space.

Ultra Vires

Ultra vires is a Latin phrase that translates to “beyond the powers.” This means that someone is acting beyond the scope of the authority or power that is granted to him by law, contract, or agreement. Ultra vires is opposite from intra vires , which is Latin for “within the powers.” If someone needs the legal authority to do something, and then acts within that granted authority, then he is acting intra vires. For example, ultra vires actions can be deemed invalid after the fact, while acts that are performed “intra vires” are considered valid. To explore this concept, consider the following ultra vires definition.

Ultra Vires Doctrine

The doctrine of Ultra vires is associated with actions taken by an individual in relation to a corporation or company. Every company has what is called a “Memorandum of Association of Company” (“Memorandum”), which is the company’s constitution . The Memorandum defines the company’s objectives, powers, and areas of operation, both internal and external. The Memorandum serves as an outline and a guide that the executives of the company can follow to be sure of the scope of their own powers, and what lines they cannot and should not cross.

This commitment to uphold the company’s Memorandum is referred to as “ultra vires doctrine.” If the company performs an act that is beyond the scope of the powers afforded to it by its Memorandum, then that act is ultra vires , or beyond its powers. The ultra vires doctrine is a kind of insurance policy that reassures a company’s shareholders and creditors that the company will not use their assets or funds for any purposes other than those that are afforded to it, and specified within the ultra vires doctrine.

Types of Ultra Vires Acts

There are three types of ultra vires acts, which outlined below:

• Ultra Vires the Memorandum by the Company – Acts performed by the company that are beyond the powers granted to it in the Memorandum are ultra vires.
• Ultra Vires the Articles, Intra Vires the Company – These are acts performed beyond the powers granted to the company by its Articles of Incorporation , but that are still within the powers of its Memorandum. These acts are ultra vires the Articles, but intra vires the company.
• Ultra Vires the Directors, but Intra Vires the Company – These are acts performed by the company’s directors that are ultra vires their authority, but intra vires the company as a whole.

Ultra vires acts cannot be ratified. This means that once someone commits an ultra vires act, that act cannot retroactively be made valid. It is permanently invalid and beyond the scope of that actor’s powers, as granted to him by the company’s Memorandum.

Ultra Vires Example in Municipal Ordinance

An example of ultra vires issues being brought before the Court began in 2011, when the city of Houston, Texas implemented a drainage fee ordinance for certain properties. Under this ordinance, drainage fees were imposed upon the city’s properties that benefited from the drainage system. These fees were a way of recouping some of the city’s costs in providing drainage to those properties.

Part of the fees were also to be allocated toward funding future improvements that would become necessary to maintain the drainage system. Any monies collected were specifically to be used solely for the “expenses associated with the cost of service to provide drainage services within the service area.”

This ordinance gave Daniel Krueger, Houston’s Director of Public Works and Engineering, the authority to manage any policies or procedures that were necessary in order to keep the drainage system working. He was also in charge of collecting these newly implemented fees, and distributing them as he was directed by the ordinance. The ordinance also specified the scope and the limits of Krueger’s power in his capacity as the director of his department.

Shortly after the ordinance went into effect, three railroads – Houston Belt & Terminal Railway, BNSF Railway, and Union Pacific Railway – received notices outlining the charges that were proposed by Krueger for their properties.

The charges amounted to $3 million a year, based on Krueger’s determination that all of the railroads’ properties within Houston not only benefitted from the drainage system, but were also impervious properties. This meant that their land does not absorb water well, or that it does not allow water to easily pass through, and so a separate drainage system is necessary.

The railroads collectively sued Krueger, alleging that he was acting outside his scope, or ultra vires , and asked the court to grant injunctive relief . The City and Krueger filed a plea to the trial court stating that the government had immunity to an ultra vires claim. The court agreed. The railroads appealed, and the appellate court was entrusted to decide two issues in particular:

• Did Krueger act ultra vires by determining which properties were benefitted and therefore subject to drainage fees?
• Did Krueger act ultra vires by determining that the railroads were responsible for paying $3 million based on their properties’ impervious surface areas?

The court of appeals granted the appeal in part and denied it in part. The Court determined that the railroads provided sufficient proof of Krueger’s first action being ultra vires, but not his second. The railroads, as far as the court was concerned, did not effectively prove that their lands were not impervious, and that they did not need the proposed widespread drainage system. The parties cross-appealed, and the matter was brought before the Texas Supreme Court.

The Supreme Court held that Krueger’s determinations did not meet the definitions provided in the ordinance and that he did, in fact, act ultra vires. The Court noted that the railroad properties were not, in fact, “benefitted properties” as the ordinance had defined them. Further, while Krueger may have had some power insofar as determining which properties were benefited, he did not have the power to make that determination when it would conflict with additional provisions within the ordinance. He was also incorrect in determining which properties were “impervious properties,” as per the Court.

The Court found that the railroads did, in fact, provide a valid example of an ultra vires claim, and so the case was remanded to the lower court for further proceedings.

Ultra Vires Acts: Legal Definition and Examples

What Are Ultra Vires Acts?

Ultra vires acts are any acts that lie beyond the authority of a corporation to perform. Ultra vires acts fall outside the powers that are specifically listed in a corporate charter or law. This can also refer to any action that is specifically prohibited by the corporate charter.

The roots of the term are from a Latin phrase that means beyond the power. It is the opposite of under proper authority—intra vires. You will also find the term in the legal profession.

Excessive Use of Power

Ultra vires acts can also be defined as any excessive use of corporate power that has been granted. These acts cannot be legally defended in court. They will, in fact, leave the corporation vulnerable to lawsuits by employees or other parties.

Companies have a variety of legal documents and directives that outline the parameters of what actions are permitted by each organization, its employees, and directors. These documents can include what is known as a "memorandum of association." The memorandum is largely used in Europe but not in the United States.

The memorandum combined with articles of association can serve as a constitution for companies that outlines the conditions by which the organization may operate and interact with shareholders . The memorandum offers guidance on the external matters the company can engage in. Articles of incorporation also define the nature of a company, its purpose, and the type of organization it will be.

If other types of entities such as government bodies also take actions beyond the scope of their legal powers, their deeds can also be described as ultra vires acts.

Examples of Ultra Vires Actions

Actions that breach the above directives can be classified as ultra vires. For example, a company’s constitution might outline the procedure for appointing directors to its board. If board members are added or removed without following those procedures, then those actions would be described as ultra vires.

If individuals within a company make use of resources that go beyond the scope of their legal purview, this can be called ultra vires. Such actions may include appropriating company revenue or shares of the company that the individuals do not have legal ownership of. If a manager were to access the bank accounts of the company and use those assets for personal needs this would be classified as ultra vires acts. If an accountant or another financial officer within a company transferred ownership of company shares they have rights to control, this also falls under ultra vires acts.

When government bodies or agencies take action, the scope of their powers is determined by laws that can include a constitution. If branches of government go beyond those outlined powers, their actions can be deemed ultra vires and may face legal repercussions.

Concert promoter Live Nation is getting into the ultra-luxury cruise business — see what it'll be like on weeklong superyacht sailings starting at $3,000 a person

• Live Nation's Vibee is getting into the ultra-luxury cruise business.
• The music event curator says it'll charter two superyachts for three weeklong Croatia cruises this summer.
• Like other vacation operators, Vibee says it's seen increasing demand for cruise and yacht-based trips.

Forget concerts — Live Nation wants music fans to start going on yacht vacations .

In 2023 and amid a boom in experiential travel , the entertainment company established Vibee, a music-based event curation arm. Less than a year later, Vibee has already executed affairs like a weekend Bahamas getaway headlined by singer Lionel Richie and a three-day Cabo San Lucas, Mexico party featuring DJ Tiësto.

Now, it's moving off-land and to the high seas with its new segment: Vibee Yacht Club.

This summer, Vibee says it'll charter two superyachts for three weeklong Croatia itineraries that are set to be, of course, centered on music.

Vibee is capitalizing on yet another increasingly popular concept: themed cruises.

Themed cruises can vary vastly, from Star Trek-centered sailings to itineraries helmed by famous comedians. And as of late, many of these niche voyages have been selling out faster than ever before.

Themed cruise operator Sixthman's November 2023 hip-hop itinerary sold out in less than five days with no publicly announced lineup.

Similarly, Vibee's first cruise, the 2023 EDSea — a wordplay on the electronic dance music festival Electric Daisy Carnival, or EDC — was fully booked in three days, again with an undisclosed lineup.

Armed with EDSea’s success, Vibee wants to dive deeper into the cruise segment — this time with a luxurious spin.

"We see the desire for cruise and yacht experiences continuing to rise," Harvey Cohen, president of Vibee, told Business Insider, echoing sentiments of the cruise industry's booming demand.

And not just the mass-market players: Over the last year, luxury cruise lines have also seen a rise in interest.

In its fourth-quarter earnings report from February 2024, Norwegian Cruise Line Holdings said its two high-end brands, Oceania and Regent Seven Seas, had both seen "strong demand."

The latter had launched its latest $517.9 million luxury ship a few months prior, complete with caviar and a $6 million art collection.

Luxury cruises and superyachts aren’t known to be super-affordable.

Vibee says it's chartering the 141-foot-long Lupus Mare and nearly 161-foot-long Prestige for its three yacht sailings.

Vibee Yacht Club's cheapest option starts at $3,100 per person for a two-person cabin. Comparatively, EDSea's 2024 itinerary starts at $1,405 per person for a double occupancy interior cabin.

Yet, it could be a bargain for some superyacht fans: Weeklong charters for Lupus Mare start at about $71,000 a week, according to YachtCharterFleet.

Everything is better on a yacht. Champagne? Tastes better on a yacht. Cruises in general? Better on a yacht.

Going to an international music festival? Well, Vibee thinks it would be better to stay on a yacht than in a hotel.

On July 13, the first itinerary would start on day two of Ultra Europe, a popular three-day electronic dance music festival in Split, Croatia.

Following the event, the two yachts would sail to three Croatian islands before concluding in Hvar, Croatia. Along the way, the itinerary would include daytime swims, a sunset winery visit, and several parties (day and night).

Unsurprisingly, Vibee expects the itinerary to draw in younger travelers, specifically Gen Zers and millennials.

Lupus Mare is set to be chartered for two more itineraries: “Rock the Med” and “Marafiki on the Adriatic.”

A three-person cabin for both starts at $3,500 per person.

On Rock the Med, the week is set to begin with VIP tickets to a Lenny Kravitz show at the historic Pula Arena.

Afterward, it would sail to Croatian destinations with an itinerary that would include beach excursions and clubs.

Marafiki on the Adriatic isn’t centered on a single music event.

Instead, the roundtrip Split itinerary would feature on-board musical performances, daily yoga, "cultural outings," and, of course, beach clubs.

A bonus trip to Sonus Festival, a five-day rave, is an optional add-on.

Like a typical luxury cruise, travelers would have preorganized water taxis, chefs to prepare daily breakfasts and lunches, and all the yacht amenities.

The 20-cabin, 40-guest Prestige flexes indulgences like an indoor lounge, a hot tub, and a sundeck with plenty of beds.

Meanwhile, the 15-cabin, 34-guest Lupus Mare has comforts like a sauna and gym.

Travelers could wind down in the yacht's movie theater or hot tub. Or, they could take a slide into the water.

It’s no surprise Vibee is going the more sumptuous route with its itinerary-focused yacht concept.

" Revenge travel " might as well be known as "regular travel" at this point: People have continued to spend big on extravagant vacations, especially on luxury small cruise ships and trips planned around experiences and adventures.

Both are niches Vibee is trying to carve out for itself: Looking ahead, the new brand is already planning more music and sea-based vacations, Cohen told Business Insider.
